Terms of Service

1. Acceptance of Terms

By accessing or using Nvio Pro (“the Service”), operated by Sideris MSP, LLC (“Company,” “we,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including general contractors, subcontractors, dispatchers, field supervisors, and any other parties who access the platform.

2. Description of Service

Nvio Pro is a field service management and compliance platform that enables general contractors to:

  • Create and manage work orders and job sites
  • Dispatch subcontractors via SMS magic links
  • Track job status from dispatch through check-in to completion
  • Verify subcontractor compliance (COI, licenses, credentials)
  • Capture photo evidence and GPS-verified check-ins
  • Manage vendor directories and compliance rules

3. User Accounts & Responsibilities

3.1 Account Registration

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3.2 Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to any part of the Service or its systems
  • Upload or transmit viruses, malware, or any malicious code
  • Use the Service to harass, abuse, or harm others

3.3 Subcontractor Acceptance

Subcontractors who receive dispatch magic links acknowledge that accepting a job via the Service constitutes a binding commitment to perform the work described. Failure to complete accepted jobs may result in removal from the vendor directory and forfeiture of future dispatch opportunities.

4. Compliance & Insurance

Subcontractors using the Service must maintain valid certificates of insurance (COI) with coverage amounts meeting the minimum requirements set by the general contractor. The Service may automatically block dispatches to subcontractors with expired or insufficient coverage.

It is the subcontractor's responsibility to ensure their COI remains current. The Company is not liable for any losses resulting from lapses in insurance coverage.

5. GPS & Location Data

The Service uses GPS location data to verify check-ins at job sites. By using the check-in feature, you consent to the collection and transmission of your precise location data. This data is used solely for job verification and is retained as part of the job record.

6. SMS Communications

By using the Service, you consent to receive SMS messages, including dispatch notifications, magic links, and status updates. Standard message and data rates may apply. You may opt out at any time by replying “STOP” to any message or by contacting us directly.

The Company uses Twilio for SMS delivery. Message frequency varies based on dispatch activity. We are not responsible for any delays or failures in SMS delivery caused by carrier networks.

7. Intellectual Property

The Service, including its code, design, logos, and content, is owned by Sideris MSP, LLC and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, or create derivative works without our express written permission.

Data you submit to the Service (job details, photos, compliance documents) remains your property. You grant us a license to store, process, and transmit this data as necessary to provide the Service.

8. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. This includes, but is not limited to, lost profits, loss of data, business interruption, or personal injury.

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

9. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

We reserve the right to suspend or terminate your access to the Service at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to the Service, other users, or third parties.

Upon termination, your right to use the Service will immediately cease. Sections 7 (Intellectual Property), 8 (Limitation of Liability), 9 (Indemnification), and 12 (Governing Law) shall survive termination.

11. Changes to Terms

We may modify these Terms at any time. Changes will be effective immediately upon posting to this page. Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Brazos County, Texas.
